Formation of Hong Kong Companies

General requirements to register a limited private company in Hong Kong:

Directors

At least one individual Director who is over 18 years old
No restriction on nationality
Corporate Director is allowed when the company has at least one individual Director

Shareholders

At least one Shareholder is required. Individual shareholder who is over 18 years old or corporate shareholder are permitted

Company Secretary

At least one Company Secretary is required. Individual who is Hong Kong resident and over 18 years old or corporate entity which registered in Hong Kong are permitted
If the sole individual Director and Shareholder is the same person, it should appoint a third party (individual/corporate) as Company Secretary

Company Name

Must be unique and name must contain the word “Limited”
Can be in English or in both English and Chinese

Share Capital

Standard currency is HKD, but permitted to any currencies
Minimum 1 paid up share
No restriction on the registered share capital
The liability of each shareholder is limited to the issued share capital

Registered Office Address

A company must have a registered office address in Hong Kong
